Terms of Service

These Terms of Service ("Terms") govern your use of the Nouron Labs platform, operated by Nouron Labs, Inc. [LEGAL ENTITY BEING FORMED — update with the final name and jurisdiction before publishing] ("Nouron Labs", "we"). By creating an account, clicking "I Accept", or using the platform in any way, you agree to these Terms and our Privacy Policy. If you disagree, do not use the platform.
1. Eligibility
You must be at least 18 years old to use Nouron Labs, no exceptions. We verify your age against an official ID document as part of our verification (KYC) process — a checkbox is not enough. You must provide truthful and complete information during registration; providing false information is grounds for immediate account termination.
2. What Nouron Labs is
Nouron Labs is a marketplace for AI training data. We connect "Contributors" (people who record voice, image, video, or documents in exchange for payment) with "Buyers" (companies that purchase certified datasets to train AI models). Nouron Labs acts as a technology and payment intermediary between both parties — we are not a party to the underlying data licensing contract between the Buyer and you, although we process and warrant data quality before sale.
3. Nature of the relationship
Your relationship with Nouron Labs is that of an independent contractor. You are not an employee of Nouron Labs or of any Buyer. You are not entitled to employee benefits, social security, or any other labor benefits for completing tasks on the platform. You are responsible for declaring and paying applicable taxes in your jurisdiction.
4. License to your content
By completing a task and receiving the corresponding payment, you grant us a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, and sublicensable license to use, reproduce, modify, process (including anonymization), distribute, sell, and license the content you produce, for the purpose of building, certifying, and commercializing AI training datasets. This license survives termination of your account with respect to content already delivered — we cannot "undo" a sale already made to a Buyer (see Privacy Policy, Section 9, for what this means for deletion requests). You retain ownership of your personal identity data — what you license is the task content (the recording), not your identity. We never sell or license raw biometric identifiers (voiceprints or face geometry maps) as such — only content already processed through our anonymization pipeline.
5. Prohibited conduct while recording
You must not: record another person without their explicit consent (for verticals requiring a third party present, the platform guides you through a mandatory consent flow before recording); include illegal, defamatory content, or content that infringes third-party rights; record confidential documents or information belonging to your employer or client without authorization; include personal information of minors; or attempt to game the quality review process (for example, by submitting generic or recycled content to maximize payments). Violating this section may result in content rejection, payment withholding, and account suspension or termination.
6. Payments
The amount per task is specified before you accept it. Payment is released once your contribution passes our quality control (QA) process — submitting a recording does not guarantee payment if it does not meet the task criteria. We pay via Venezuelan pago móvil or Binance Pay, as configured in your account; we charge no fee to the Contributor. We may withhold or reverse a payment if we detect fraud, duplicate/recycled content, or a breach of these Terms, even after an initial payment, through a documented and audited adjustment process. We reserve the right to adjust future task rates with reasonable prior notice; changes never apply retroactively to already-completed tasks.
7. Quality, review, and rejections
Every contribution goes through automated quality controls and, when necessary, human review. We may reject content that fails to meet a task's technical or content criteria, contains non-consented personal information of third parties, or fails our anonymization verification. Recurring rejections may lead to an account review and, in cases of proven bad faith or fraud, suspension.
8. Account cancellation and termination
You may close your account at any time from your profile settings or by writing to data@nouronlabs.com — the deletion process is governed by the Privacy Policy. We may suspend or terminate your access, with or without notice, if: you breach these Terms, provide false information, commit fraud, your work quality is consistently unacceptable, or the law requires it. The license granted in Section 4 over content already delivered survives account termination for any reason.
9. Platform intellectual property
The software, design, methodology, brand, and other content of Nouron Labs are the exclusive property of Nouron Labs or its licensors. You have no right to copy, modify, distribute, reverse-engineer, or create derivative works of the platform without written authorization.
10. Confidentiality
If you receive confidential information about Nouron Labs methodologies, Buyers, or technology, you agree not to disclose it to third parties without express authorization. This obligation remains in effect for 2 years after your relationship with us ends.
11. Warranties and disclaimer
The platform is provided "as is" and "as available." We do not warrant that the service will be uninterrupted or error-free, nor do we guarantee a minimum volume of available tasks or minimum earnings from your participation.
12. Limitation of liability
To the maximum extent permitted by applicable law, Nouron Labs' total liability to you for any claim related to these Terms is limited to the amount we paid you in the 6 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
13. Indemnification
You agree to indemnify and hold Nouron Labs harmless from any third-party claim arising from: content you record in violation of these Terms (for example, recording someone without their consent), or false information you provided during registration.
14. Dispute resolution
We will first attempt to resolve any dispute directly — write to data@nouronlabs.com. If you are a US resident: disputes not resolved directly will be submitted to binding, individual (non-class) arbitration before the American Arbitration Association, with both parties waiving the right to a jury trial and to class actions. If you reside outside the United States, particularly in Brazil or any other country where an arbitration clause in an adhesion contract is not automatically enforceable without your separate, highlighted acceptance: you retain the right to bring contractual/consumer disputes before the competent courts of your country of residence, and this arbitration clause does not intend to deprive you of that right where your country's law does not permit it.
15. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions, except to the extent your country of residence's consumer protection law mandatorily provides otherwise.
16. Changes to these Terms
We may update these Terms. Cosmetic changes are published with a new effective date. Material changes — such as the content license, payment structure, or dispute resolution clause — require your new affirmative acceptance before continuing to use the platform, through the same mechanism described in the Privacy Policy, Section 12.
17. General provisions
If any provision of these Terms is found invalid, the remainder stays in effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Nouron Labs regarding use of the platform. You may not assign your rights or obligations under these Terms without our prior written consent.
